This agreement is between you and Stitchen LLC, a limited liability company organized under the laws of Utah ("Stitchen", "we" or "us"). It applies when you create a designer profile in the Stitchen pattern shop ("the shop") and list patterns in it. It forms part of the terms of service, which apply to you as well.
The shop opens in stages. In the first stage it is a directory, where each listing's Buy button links to your own shop elsewhere (section 3). When the shop starts selling patterns itself, its buyer terms, refund policy and license texts will set out what Stitchen promises the people who buy your patterns, and we will publish them on stitchen.app before the first sale. This agreement sets out your part in keeping those promises.
1. The short version
This summary is here to help you read the rest. If it and the full agreement ever disagree, the full agreement applies.
- List only patterns you made or have the right to sell, and describe each one truthfully, including whether AI was used.
- You keep your copyright. You give Stitchen the rights it needs to check, show, sell and deliver your patterns, and to keep delivering them to the people who bought them.
- Stitchen sells your patterns, collects the tax and pays you the price less a fee of 8% of the price plus $0.25. There is no listing fee, no fee on free patterns and no paid placement.
- Patterns you have sold stay in your buyers' libraries, even if you leave.
- No exclusivity. Sell your patterns wherever else you like.
2. Who can be a designer
To have a designer profile, you must have a Stitchen account, be at least 18 years old and an adult where you live, and accept this agreement.
To sell patterns through the shop, you must also:
- live in, or for a business be established in, one of these places: the United States, the United Kingdom, a country of the European Economic Area, Canada or Switzerland;
- finish Stripe's onboarding (section 8);
- tell us whether you sell as a business (a trader) or as a private person, and keep that answer up to date.
If you sell as a trader, give us your name, address, telephone number and email address, and your trade register number if you have one, and confirm that you offer only patterns that comply with the law. We show the details the law requires on your listings and your designer page.
If you act for a business, you accept this agreement for it and confirm that you have authority to do so.
3. Directory listings
A listing can be a directory listing, whose Buy button links to your own shop elsewhere. The sale then happens in that shop, under its terms, and Stitchen sells nothing.
For a directory listing, sections 1 to 6 and 12 to 16 apply, and the license in section 6 covers showing the listing, not selling or delivering the pattern. Sections 7 to 11, on selling, fees, refunds, buyers' copies and marked copies, apply only to patterns sold or given through the shop.
4. Your listings
Your rights in the pattern. List only patterns you made yourself, or that you have the right to sell in the shop under the license you choose. When you list a pattern, you confirm that:
- you own the copyright in it, or hold a license that lets you sell it in the shop;
- if it is based on someone else's photo, artwork, character or brand, you have their permission. A chart converted from someone else's picture copies that picture, and converting it gives you no rights of your own;
- selling it doesn't infringe anyone's rights or break the law.
The listing form asks where the source art came from: your own work, licensed with credit, or the public domain. Answer it truthfully.
Describe it truthfully. Stitchen reads the facts buyers search by, such as the stitch count, the number of colors and the finished size, from your chart. Check them before you publish, and correct anything the reading got wrong. The title, description, tags, files and photos you add must match the pattern.
Say how it was made. Every listing needs one of these answers:
- Human: you designed it without generative AI tools. Converting your own photo or artwork with a tool that doesn't generate new images, such as Stitchen's picture converter, counts as human.
- AI-assisted: you used generative AI tools for part of the design, and the rest is your own work.
- AI-generated: a generative AI tool made the design or the chart, even if you edited it afterwards.
Patterns made with AI are allowed, and they rank below patterns made by a person.
Photos. A photo of a stitched model must show real stitching of this pattern. Label a digital mockup as a mockup. Never present an AI image as a photo of stitching.
Prices. You set your price in US dollars, or make the pattern free. Compare a sale price only with a price the pattern actually sold for before the sale.
Licenses. You choose your pattern's license with the fields on the listing form, which build one of the shop's license texts. For copies sold or given through the shop, the license on the listing replaces any terms printed in your pattern files, so make sure your files don't promise buyers less. You can change the license for future sales. A change never affects copies already sold or given.
Digital patterns only. The shop sells patterns to download. Don't list physical kits, printed charts or custom commissions.
Imported listings. If you import listings from another shop, such as an Etsy listings export, every rule in this section applies to them before you publish them.
Fair dealing. Don't buy your own patterns, or have them bought, to move money or to raise their ranking. Don't review your own patterns, offer anything in return for a review that depends on what it says, or ask a buyer to remove a review because it is negative.
5. Checks, review and ranking
Checks. Before a listing goes live, Stitchen reads the chart, searches the shop for charts and images that match it, looks for signs that it was made with AI, and looks for names of licensed characters and brands. If a check flags something, the listing waits until a person at Stitchen reviews it. We may hold or remove a listing that breaks this agreement, and we tell you why.
AI labels. Your answer about how a pattern was made is its label. Only you set it, and we never change it. If the signs of AI we find and your answer disagree, the listing goes to review, and we publish the signs we look for. If the review ends in a removal, you can appeal it under section 12.
Ranking. Search results are ordered first by how well a pattern matches the search, then by purchases by verified buyers, photos of stitched models, low rates of refunds and error reports, and a Verified designer badge. Patterns made by a person rank above patterns labeled as made with AI. Nobody can pay for a better place, and Stitchen sells no advertising. Bundles of a whole shop's patterns have their own filter.
Verified designers. A person at Stitchen can review your portfolio and history and give you a Verified designer badge. It raises your listings in search and shortens the review of your new listings.
6. The rights you give Stitchen
You keep the copyright in your patterns and in everything else you upload. You give Stitchen a worldwide, non-exclusive, royalty-free license to do the following with your patterns, files, photos and listing text, solely to run the shop:
- store, copy and back them up;
- read your charts, make the parse report and a Stitchen chart file (OXS) from them, and apply the corrections you save;
- make low-resolution, watermarked previews of your charts, and resize your photos;
- show your listings and your designer page in the shop, in search engines, in the Stitchen apps where they show the shop, and in emails to people who chose to hear about your new patterns;
- compare your charts and images with others in the shop and with copies reported to us, to find copies;
- print each buyer's details on their copy, deliver it, and deliver the corrected versions you publish;
- sell your patterns, and grant buyers, in your name, the license shown on your listing.
This license gives us no right to use your patterns to train machine-learning models unless you separately agree, and no right to sell them anywhere other than the shop.
It lasts while your listing is in the shop. For copies already sold or given, it continues for as long as section 10 keeps them in buyers' libraries. We also keep the records the law requires, and your original files as evidence of what was sold.
7. Selling and tax
Stitchen is the seller. Stitchen sells your patterns to buyers. Buyers pay Stitchen, and their order, receipt and consumer rights are with Stitchen. You aren't a party to the sale, but this agreement binds you to the promises it makes about your patterns.
Tax on sales. Stitchen calculates, collects and pays the sales tax and VAT on your sales wherever it is registered. Your share is worked out from the price before tax.
Your own taxes. You are responsible for income tax and any other tax on what you earn. Stripe collects your tax details during onboarding, and Stitchen or Stripe files the earnings reports the law requires, such as Form 1099-K in the United States.
8. Fees and payouts
What Stitchen keeps. For each paid pattern, Stitchen keeps 8% of the price plus $0.25. For a sale that comes through your own referral link, it keeps 4% of the price plus $0.25 instead. Stitchen pays card processing, tax calculation and payout charges out of its fee, and nothing else is taken from your share. There is no listing fee, no fee on free patterns, no advertising and no paid placement.
Founding designers. The first 100 designers whose first listing goes live, in the directory or the shop, are founding designers. If you are one, Stitchen takes no fee on your first $500 in sales and still pays the card costs. Your sales are the prices of the paid patterns you sell, counted when the buyer pays; a refund doesn't give that amount back. On the sale that takes you past $500, the fee is charged only on the share of the price above $500. Your dashboard shows whether you are a founding designer and how much of the $500 is left.
Stripe. Payouts go through a Stripe account connected to Stitchen. Stripe's onboarding checks your identity and bank account and collects your tax details, and it asks you to accept Stripe's own terms for connected accounts, the Stripe Connected Account Agreement. Stitchen receives the result of those checks, not your documents.
When you are paid. Your share of a sale becomes available 14 days after the buyer pays, when the refund window has passed. We pay your available balance once a month when it is at least $50; a smaller balance waits for the next payout. We transfer it to your Stripe account, and Stripe pays it into your bank account.
Your first payout. You can list patterns before you finish onboarding. Earnings wait until Stripe has verified your identity and bank account and a person at Stitchen has reviewed your first payout.
Holds. We may hold your payouts while we look into a sudden rise in your refunds or disputes, a sign that sales aren't genuine, or a legal requirement. We tell you why, and we pay what is owed when the review ends.
Your dashboard shows each sale, fee, refund, transfer and payout.
The designer offer. While you have at least one live listing, in the directory or the shop, you get Pro free, and Cloud free from the day Cloud opens. The offer lasts while we offer the features it covers, and we will give you at least 90 days' notice before it ends. It doesn't include clean prints or the Stitchen Pass.
9. Refunds and disputes
Stitchen decides every refund under the shop's refund policy, one policy for the whole shop. You can't set your own refund terms for sales in the shop.
Refunds. When we refund a sale, we refund the buyer in full and take back only your share of that sale, from your unpaid balance or, if it was already paid out, from your next payouts. Stitchen covers the rest, including its fee and the tax.
Disputes. When a buyer disputes a charge with their bank, Stitchen handles the dispute and pays its fees. If the dispute is lost, we take back your share of that sale in the same way. If a lost dispute is later reversed, we return it.
Chart mistakes. When a buyer reports a mistake in your chart, publish a corrected version. If you don't within 14 days of the report, the shop refund policy lets that buyer get a refund.
A negative balance. If your balance is negative when you close your designer account, you agree to repay it.
10. Your buyers' copies
Buyers keep what they bought or took from you. If you unlist a pattern, change it or close your designer account, every buyer keeps it in their library, with every version they received and the license on their order, and can download it for as long as the shop runs. If the shop closes, buyers get notice and time to download everything (buyer terms section 6).
Only a removal for infringing someone's rights (section 12) takes a pattern out of buyers' libraries.
When you publish a corrected version, everyone who has the pattern gets it, under the license on their order, and the earlier versions stay in their libraries.
11. Protecting your work
- Every copy is marked. Each PDF we deliver carries the buyer's name, email address and order number on every page, and the order number in the file's details and in the OXS file's record.
- Leak lookup. If you find one of your patterns shared online, you can upload the copy, and we tell you which order it came from, using the printed details, the file's details or the chart itself, even if the printed details were cut off. Use leak lookup only for your own patterns. It gives you an order number, not the buyer's contact details, and Stitchen may end that buyer's license and close their account under the buyer terms.
- Takedowns elsewhere. We give you a notice template filled in with your listing's details. We don't send notices for you.
None of this stops a determined person from copying a file. It makes sharing traceable and deliberate.
12. Notices, strikes and appeals
Anyone can report a listing, and copyright owners can send a notice under section 9 of the terms of service. When we remove a listing after a notice, we tell you why and send you the notice.
- Counter-notices. If you believe the removal was a mistake, you can send a counter-notice under section 9.2 of the terms of service. We restore the listing 10 to 14 business days after we receive it, unless the person who sent the notice tells us they have filed a court action.
- Buyers are refunded. When a pattern is removed for infringing someone's rights, it leaves every buyer's library and every buyer is refunded. Your share of those sales comes back as section 9 describes.
- Repeat infringers. Three upheld notices against your listings close your designer account. A notice stops counting when we grant your appeal of the removal it caused, or when we restore the listing after your counter-notice because the person who sent the notice did not tell us they had filed a court action. This policy is published.
- Appeals. You can appeal the removal of a listing, or the suspension or closure of your designer account, from the Sell page, where we show our decision and its reasons. A person at Stitchen decides the appeal and tells you the outcome and the reason. If we grant it, we undo the decision.
13. Leaving, suspension and closure
You can leave at any time. Unlist your patterns, or close your designer account by emailing support@stitchen.app. We pay your remaining balance at the first payout after the refund window of your last sale has passed, even if it is below $50. If you delete your Stitchen account instead, we pay it at the first payout once 180 days have passed since the deletion. A balance under $1 is not paid. Your Stripe account stays connected to Stitchen for 180 days after your designer account closes or your Stitchen account is deleted, so that refunds and disputes can still be settled, and then we close it.
We can restrict your selling. We may hold or remove a listing, or suspend or close your designer account, if you break this agreement or the terms of service, if the law requires it, or if your selling puts buyers, other designers or Stitchen at risk. We tell you why, unless the law or a security concern stops us.
Notice. To close your designer account for any other reason, we give you at least 30 days' notice. We may act sooner when the law requires it, for a serious or repeated breach, or when buyers are at risk.
One designer account. Your designer account is tied to the identity and bank account Stripe verified. If we close it, don't open another.
What continues. Sections 6, 9, 10 and 15 continue after this agreement ends, for as long as anything they cover remains.
14. Changes to this agreement
We will email you about any change to this agreement at least 30 days before it takes effect. If you don't agree, you can close your designer account before then. A change never affects a sale already made.
15. General
You are independent. You sell as an independent designer or business, not as Stitchen's employee, agent or partner.
No exclusivity. You may sell your patterns anywhere else, and your designer page can link to your other shops.
Indemnity. You will indemnify Stitchen against third-party claims, and the costs of defending them, to the extent they arise from a pattern, photo or listing you put in the shop, or from your breach of this agreement.
Liability and disputes. Sections 15, 16 and 18 of the terms of service apply to this agreement.
Data. The privacy policy explains what we keep about you. You don't receive buyers' email addresses. Reviews reach you with the reviewer's display name, and error reports with the reporting buyer's display name. Use them only to answer the review or correct the pattern.
